Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Eldara website, waitlist, forms, pre-launch offers, Golden Key, and related online experiences operated by ELDARA Solutions Inc. (“Eldara,” “we,” “us,” or “our”).

By accessing or using the website, submitting a form, joining the waitlist, clicking a button or checking a box indicating acceptance, or purchasing a Golden Key, you confirm that you have read, understood, and agree to be bound by these Terms and any policies or additional terms referenced in these Terms.

If you do not agree with these Terms, do not use the website, submit forms, join the waitlist, or purchase a Golden Key.

1. About Eldara

Eldara is a chat-first personal service coordination assistant designed to help people move real-life service requests forward through a simple assistant-led experience.

Eldara is being built to help customers request support for everyday needs such as home services, cleaning, auto help, beauty and personal care, and other real-life service categories where available.

Eldara is not an emergency service. Service availability varies by location.

2. Eligibility

You must be the age of majority in your province, territory, state, or country of residence to purchase a Golden Key or use paid Eldara features.

By purchasing a Golden Key, you confirm that you meet this requirement and that you are legally able to enter into a binding agreement.

If you use the website on behalf of a company, organization, or other entity, you confirm that you have authority to bind that entity to these Terms.

3. Pre-Launch Website

The Eldara website is currently a pre-launch marketing and information website.

Some services, features, cities, categories, mobile app features, payment flows, provider availability, benefits, or offers described on the website may not be available yet or may change before launch.

Website content does not guarantee that Eldara is available in your city, that a specific service can be provided, that a provider is available, or that Eldara will launch in any specific location by any specific date.

Eldara may launch city by city and may limit service availability by location, category, provider capacity, safety, operational readiness, legal requirements, tax requirements, compliance requirements, or business priorities.

4. Eldara Is Not a Marketplace

Eldara is not a public marketplace.

Customers do not browse public provider profiles, compare provider listings, choose from a public list of companies, or select from multiple public provider options through the website.

Eldara is designed as an assistant-first service coordination experience. Where services are available, Eldara may help collect request details, organize the request, involve human review where needed, and coordinate next steps.

5. Providers Are Independent

Service providers, contractors, professionals, companies, or businesses that may perform services through or after an Eldara coordination flow are independent service providers.

Providers are not employees of Eldara unless expressly stated in writing.

Eldara may coordinate, review, facilitate, support, or help move certain service requests forward, but the actual performance of services may be carried out by independent providers.

6. AI and Human Review

Eldara may use artificial intelligence, automation, or software tools to assist with intake, request organization, triage, summaries, internal draft preparation, routing, or operational support.

AI does not make final risky decisions, payment decisions, refund decisions, provider assignment decisions, or exception decisions. Human review may be used where needed, especially for scope, payments, refunds, provider dispatch, safety, disputes, unusual requests, or exceptions.

Eldara may refuse, pause, cancel, escalate, or decline requests that appear unsafe, unlawful, abusive, incomplete, outside scope, operationally unavailable, unsuitable for Eldara, or inconsistent with these Terms.

7. No Professional Advice

Information provided through the website, forms, pre-launch materials, chat experiences, AI-assisted intake, or Eldara communications is for general information and coordination purposes only.

Eldara does not provide legal, medical, financial, tax, insurance, engineering, construction, automotive, emergency, trade, safety, or other professional advice through the website.

You should consult an appropriate qualified professional for advice specific to your situation.

8. Waitlist and Website Forms

You may submit information through website forms, including waitlist forms, contact forms, provider interest forms, Golden Key forms, or other website forms.

Submitting a form does not create a service booking, provider relationship, employment relationship, partnership, guaranteed onboarding, guaranteed service availability, guaranteed launch date, or guaranteed response time.

You agree that the information you provide is accurate, current, complete, and not misleading.

Any false, inaccurate, incomplete, fraudulent, or misleading information may result in Eldara refusing, cancelling, blocking, limiting, or not proceeding with a request, form submission, purchase, or account.

Eldara may use your submitted information to understand launch demand, contact you about Eldara, manage pre-launch interest, process purchases where applicable, review provider interest submissions, respond to messages, improve launch planning, and operate the website.

9. Additional Terms

Certain Eldara features, offers, payments, provider flows, app features, service categories, future local services, promotions, beta programs, or checkout flows may be subject to additional terms, policies, notices, checkout disclosures, service-specific terms, provider-specific requirements, or official rules.

If additional terms apply, they will form part of these Terms for that feature, offer, transaction, or service.

If there is a conflict between these Terms and additional terms for a specific feature or transaction, the additional terms will apply to that specific feature or transaction, unless those additional terms state otherwise.

10. Golden Key

Golden Key Early Bird is a one-time digital pre-launch purchase for Eldara's early community.

The Golden Key purchase price is $15 CAD plus applicable taxes, as shown at checkout.

Golden Key Early Bird includes:

  • early access to Eldara before public access opens;
  • one $10 CAD promotional discount on the holder's first eligible Eldara request after launch;
  • a Golden Key badge in the holder's future Eldara profile, where available; and
  • the ability to help Eldara understand early demand by city.

The Golden Key is not:

  • a subscription;
  • a service booking;
  • a deposit;
  • a gift card;
  • stored value;
  • a prepaid service credit;
  • an investment;
  • a donation;
  • a guarantee of launch timing;
  • a guarantee of service availability;
  • a guarantee of provider availability;
  • a guarantee of emergency service;
  • a guarantee of same-day service; or
  • a guarantee of any specific response time.

The $10 promotional discount is not cash, is not transferable, cannot be sold or exchanged for money, and is not a general account credit or payment for future local services.

Golden Key benefits are subject to product readiness, launch timing, city coverage, category availability, operational capacity, and Eldara's applicable policies.

Early access does not guarantee that Eldara will be available in the holder's city or that any specific service will be available.

11. Pre-Launch Availability and Supported Locations

The Golden Key is a pre-launch offer.

Available during pre-launch only. This early status may not be available for purchase once Eldara launches publicly.

Paid Golden Key purchases are not available in Quebec or Saskatchewan at launch.

The free waitlist may remain available more broadly, including in locations where paid Golden Key purchases are not currently available.

Eldara may refuse, cancel, or refund a purchase if the purchase is made from an unsupported province, territory, city, country, or location, or if Eldara determines that the purchase cannot be processed for legal, tax, operational, payment, fraud, abuse, or compliance reasons.

12. Prices, Taxes, and Currency

Unless stated otherwise, prices shown by Eldara are in Canadian dollars.

Applicable taxes may be shown separately at checkout.

You agree to provide accurate country, province or territory, postal code, selected city, email address, and other checkout information required for tax calculation, payment processing, fraud prevention, receipt generation, customer support, and launch availability management.

You are responsible for reviewing the price, applicable taxes, purchase description, limitations, refund terms, and other checkout information before completing a purchase.

13. Golden Key Payments

Golden Key purchases are processed through third-party payment processors such as Stripe.

Eldara does not store full payment card details. Payment card information may be collected and processed by Stripe or other payment processors according to their own terms and privacy practices.

By submitting payment information, you authorize Eldara and its payment processor to charge the payment method you provide for the amount shown at checkout.

A Golden Key purchase is not complete until payment is successfully processed and accepted.

Eldara may decline, cancel, reverse, or refund a transaction if payment fails, payment information is invalid, the transaction appears fraudulent or abusive, the location is unsupported, or the purchase cannot be processed for legal, tax, operational, compliance, or payment reasons.

14. Checkout Review and Confirmation

Before completing a Golden Key purchase, you should review the purchase details, including:

  • the item being purchased;
  • the price;
  • applicable taxes;
  • currency;
  • your email address;
  • your country, province or territory, postal code, and selected city;
  • the refund policy;
  • any purchase restrictions, limitations, or conditions.

Where the checkout flow allows correction of errors, you are responsible for correcting inaccurate information before purchase.

After purchase, Eldara or its payment processor may send a confirmation, receipt, or transaction record to the email address you provide.

You are responsible for ensuring your email address is accurate and that you can receive transaction-related emails.

15. Refunds and Cancellations for Golden Key

Golden Key purchases are final and non-refundable, except where required by applicable law.

Nothing in these Terms limits any non-waivable consumer rights that may apply under applicable law.

Eldara may cancel or refund a Golden Key purchase at its discretion if there is a duplicate payment, payment error, suspected fraud, abuse, unsupported location, blocked province or territory, legal or tax limitation, operational issue, or if Eldara cancels the Golden Key program and cannot reasonably provide the core Golden Key benefits described in Section 10.

Where a refund is approved or legally required, Eldara will attempt to return the refund to the original payment method where possible.

The Golden Key has no cash value and may not be resold or transferred unless Eldara expressly allows it in writing.

16. Future Local Services Are Separate

The Golden Key is separate from any future Eldara local service payment, dispatch fee, booking fee, visit fee, deposit, service charge, provider payment, or managed-service payment.

Purchasing a Golden Key does not pay for any future service and does not create general credit toward future services.

The one-time $10 promotional discount described in Section 10 is the only first-request benefit included with Golden Key and applies only to an eligible Eldara request where Eldara clearly offers that discount in the applicable payment flow.

Future local service payments, cancellation rules, refund rules, dispatch fees, booking fees, provider-direct payments, managed-service payments, or category-specific terms may be subject to separate terms, checkout notices, estimates, invoices, provider terms, or service-specific policies presented before or during the relevant service flow.

17. Eldara-Coordinated Services

For some categories, Eldara may offer Eldara-coordinated services where Eldara manages more of the booking, payment, coordination, customer experience, or closeout.

For other categories, Eldara may coordinate a provider-direct or referral-style outcome where the provider handles final scope, quote, payment, and service performance directly with the customer.

The applicable model may depend on category, city, provider availability, request type, operational readiness, safety, pricing structure, legal requirements, tax requirements, compliance requirements, and other factors.

Eldara may change available models, cities, categories, and operational flows over time.

18. Service Availability

Service availability is not guaranteed until confirmed by Eldara.

Eldara may decline or not proceed with a request if:

  • the service is not available in the requested city;
  • the service category is not supported;
  • a provider is not available;
  • the request is unsafe, illegal, incomplete, abusive, or outside scope;
  • required information is missing;
  • payment is not completed where required;
  • the request requires emergency response;
  • the request requires a license, permit, insurance, inspection, or professional qualification that Eldara cannot verify or support;
  • Eldara determines that proceeding would create operational, legal, safety, compliance, or customer experience risk.

19. No Emergency Services

Eldara is not an emergency service.

Do not use Eldara for emergencies, urgent medical situations, fire, police, dangerous situations, life-safety issues, active threats, gas leaks, flooding emergencies, electrical hazards, urgent security threats, or other situations requiring immediate professional or emergency response.

If you are experiencing an emergency, call your local emergency number or the appropriate emergency service provider.

20. Acceptable Use

You agree not to:

  • submit false, misleading, fraudulent, abusive, spam, or unlawful requests;
  • use Eldara to request illegal, unsafe, harmful, exploitative, or prohibited services;
  • harass, threaten, abuse, intimidate, or impersonate others;
  • interfere with the website, forms, payments, security, systems, or availability;
  • attempt to bypass Eldara payment, provider, or coordination systems where applicable;
  • misuse promotional offers, refunds, forms, pre-launch purchases, waitlists, or provider interest flows;
  • submit malicious code, bots, scripts, scraping tools, or automated requests without permission;
  • scrape, copy, reverse engineer, or misuse the website, systems, content, or Eldara materials;
  • submit sensitive personal information unless necessary for the specific request and requested by Eldara;
  • use Eldara in a way that violates applicable law, these Terms, or the rights of others.

Eldara may suspend, block, refuse, cancel, restrict, or investigate access if we believe these Terms have been violated or if use of the website creates security, operational, legal, fraud, abuse, or compliance risk.

21. Electronic Communications

By using the website, submitting forms, joining the waitlist, or purchasing a Golden Key, you agree that Eldara may send you transactional or service-related communications, including purchase confirmations, receipts, support messages, legal updates, service availability notices related to your request, waitlist updates, account or transaction-related messages, and other non-promotional communications.

Marketing emails, launch updates, service availability updates, and related promotional communications may be sent where you consent or where otherwise permitted by applicable law.

You may unsubscribe from marketing communications at any time using the unsubscribe method provided in the message.

Unsubscribing from marketing communications does not prevent Eldara from sending transactional, service-related, safety-related, legal, or purchase-related messages.

22. Privacy

Your use of the website is also governed by our Privacy Policy.

The Privacy Policy explains how Eldara collects, uses, discloses, stores, and protects personal information, including information submitted through waitlist forms, Golden Key purchases, contact forms, provider interest forms, cookies, analytics, payment-related flows, and website usage.

By using the website, submitting forms, joining the waitlist, or purchasing a Golden Key, you acknowledge that Eldara will handle personal information as described in the Privacy Policy.

23. Cookies and Similar Technologies

Eldara may use cookies, pixels, tags, scripts, analytics tools, advertising measurement tools, and similar technologies as described in our Privacy Policy and Cookie Notice.

You may be able to manage cookie preferences through the website cookie banner, browser settings, or other tools provided on the website.

Some cookies or technologies may be necessary for website functionality, security, payment processing, or fraud prevention.

24. Intellectual Property

The Eldara name, logo, website, designs, text, graphics, service concepts, software, content, branding, trade dress, and related materials are owned by Eldara or its licensors and are protected by intellectual property and other laws.

You may not copy, reproduce, distribute, modify, display, exploit, sell, license, rent, transmit, publish, adapt, edit, create derivative works from, or use Eldara intellectual property without our prior written permission, except as allowed by law.

Using the website does not give you ownership rights in Eldara intellectual property.

25. User Submissions and Feedback

If you submit comments, suggestions, feedback, ideas, form responses, service interests, provider interest information, testimonials, or other content to Eldara, you confirm that you have the right to submit that information.

You grant Eldara permission to use feedback, suggestions, and non-confidential ideas to improve, develop, operate, promote, and modify Eldara without compensation to you.

Do not submit confidential business information, trade secrets, sensitive personal information, or information you do not have the right to share unless Eldara specifically requests it and it is necessary for the relevant purpose.

26. Third-Party Services

Eldara may use third-party tools, platforms, vendors, hosting providers, analytics providers, advertising tools, payment processors, email tools, form tools, security tools, and other service providers to operate the website and related services.

Third-party services may have their own terms, policies, privacy practices, cookies, and processing activities.

Eldara is not responsible for third-party services except where required by applicable law.

Links to third-party websites or services are provided for convenience and do not mean that Eldara endorses or controls those third parties.

27. Accessibility

Eldara aims to make its website reasonably accessible and usable.

28. Disclaimers

The website, pre-launch materials, waitlist, forms, Golden Key, and related online experiences are provided on an “as is” and “as available” basis.

To the maximum extent permitted by applicable law, Eldara does not guarantee that:

  • the website will be uninterrupted, secure, current, complete, or error-free;
  • Eldara will launch in a specific city by a specific date;
  • a specific provider will be available;
  • a specific service will be available;
  • a Golden Key benefit will be available in every city;
  • any request will be accepted, completed, or fulfilled;
  • any response time, same-day service, emergency service, discount beyond the one-time $10 promotional discount described in Section 10, or specific result will be provided;
  • website descriptions, service descriptions, pricing, availability, or other content will always be accurate, complete, reliable, current, or error-free.

Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, the exclusions and limitations in these Terms apply only to the maximum extent permitted by law.

29. Limitation of Liability

To the maximum extent permitted by applicable law, Eldara and its directors, officers, employees, contractors, service providers, licensors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, loss of goodwill, service interruption, business interruption, inability to use the website, third-party conduct, provider conduct, or other intangible losses.

To the maximum extent permitted by applicable law, Eldara's total liability for claims relating to the website, pre-launch offers, or Golden Key will not exceed the amount you paid to Eldara for the specific Golden Key purchase giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law.

30. Indemnity

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Eldara and its directors, officers, employees, contractors, service providers, licensors, and agents from and against claims, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising from or related to:

  • your use or misuse of the website;
  • your violation of these Terms;
  • your violation of applicable law;
  • your submission of false, inaccurate, misleading, unlawful, or unauthorized information;
  • your infringement or violation of rights of another person or entity;
  • your misuse of forms, payments, waitlists, promotions, or pre-launch offers.

This section applies only to the extent permitted by applicable law.

31. Suspension, Refusal, and Termination

Eldara may suspend, restrict, refuse, terminate, block, or cancel access to the website, forms, waitlist, Golden Key purchase flow, or related online experiences if Eldara believes:

  • you violated these Terms;
  • your use creates fraud, abuse, legal, payment, security, safety, privacy, operational, or compliance risk;
  • your information is false, inaccurate, incomplete, or misleading;
  • your location is unsupported;
  • a transaction cannot be processed;
  • Eldara is required or advised to do so for legal, tax, compliance, payment, operational, or safety reasons.

If your access is terminated or restricted, provisions of these Terms that by their nature should survive will continue to apply.

32. Changes to the Website, Offers, and Terms

Eldara may update, modify, suspend, discontinue, or change the website, forms, features, service descriptions, launch cities, categories, future Golden Key releases, pricing, offers, and these Terms from time to time.

For a completed Golden Key purchase, Eldara will not retroactively change the price paid. Golden Key benefits remain subject to the limitations described in Section 10, including product readiness, launch timing, city coverage, category availability, and operational capacity.

When we update these Terms, we may change the effective date above.

Your continued use of the website after updated Terms are posted means you accept the updated Terms.

33. Severability

If any part of these Terms is found to be invalid, void, illegal, or unenforceable, that part will be interpreted or limited to the minimum extent necessary, and the remaining parts will continue in full force and effect.

34. Assignment

You may not assign or transfer your rights or obligations under these Terms without Eldara's prior written consent.

Eldara may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, corporate reorganization, financing, sale of assets, change of control, or by operation of law.

35. Entire Agreement

These Terms, together with any policies, checkout notices, additional terms, and documents referenced in these Terms, form the agreement between you and Eldara regarding your use of the website, forms, waitlist, Golden Key, and related pre-launch online experiences.

36. Language

These Terms are written in English.

Any translation may be provided for convenience only. If there is any conflict between a translation and the English version, the English version will govern to the extent permitted by applicable law.

37. Governing Law and Jurisdiction

These Terms and your use of the website are governed by the laws of the Province of Alberta and the applicable federal laws of Canada, without regard to conflict of law principles.

You agree to submit to the courts of Alberta for disputes related to these Terms, the website, or the Golden Key, except where applicable consumer protection laws require otherwise.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.
